It is understood and agreed that

 

(i) The Artist hereby assigns and transfers to the Publisher copyright in the Artwork (and any renewals and extensions of copyright) throughout
the world.

The artist further assigns and transfers to the Publisher for the school market only throughout the world all rights under copyright
in the Artwork in all forms or media now or hereafter known. As used herein the "school market" means and includes sales and promotional use
to or intended for schools, school districts, and other educational entities, public or private, at the preschool, elementary, middle school
and high school levels, and sales directly to individual students and teachers. It is understood that the transfer of exclusive rights in the
school market prohibits use or publication in the school market by anyone but the Publisher or its licencees of any of the Artwork, including
pursuant to any grant of selection or anthology rights.

(ii) The Artist retains for all markets other than the school market, including the trade book market, all rights under copyright in the
Artwork in all forms or media now or hereafter known. The Artist agrees that proper copyright notice and credit to the Publisher as the original
publisher of the Artwork will appear in any such publication of the Artwork authorized by the Artist. It is understood and agreed that the
Publisher will not be entitled to any share of any compensation received by the Artist with respect to any licence or exercise of the
rights retained by the Artist, including any publication of an edition of the Artwork for such other markets.

(iii) The Publisher will return the original Artwork to the Artist within six months after the Publisher has completed its use thereof in
making reproducible materials. It is understood and agreed that, provided the Artist takes appropriate steps to protect the copyright in the
Artwork, the Artist may display the Artwork in any manner the Artist chooses and may lease or sell the original art constituting the Artwork,
but shall not use or display the Artwork with the same poem or transfer any reproduction rights in conflict with this agreement. It is
understood that the Publisher will not be entitled to any share of the income from such lease or sale.

(iv) The Publisher shall be the judge of whether the Artwork is satisfactory. If Artwork is deemed not satisfactory as delivered, the
Artist shall make revisions requested by the Publisher. The Publisher may cancel any undelivered portions of the Artwork, or the complete
Artwork, if the Artwork is not satisfactory, or if the Publisher no longer needs the Artwork. In the event of such cancellation, both
parties agree to a 3kill fee2 of 50% for completed sketches, and 75% for completed finished art if the reason cancelled is that Artwork is
unsatisfactory, but 100% if reason for cancellation is through no fault of Artist.
